Cellnex’s Board proposes to appoint Marieta del Rivero as a new independent director
- Cellnex Telecom’s Board will increase from 9 to 10 members. With 50% independents, this is above the recommended threshold of Good Corporate Governance for Listed Companies.
- The appointment of Marieta del Rivero complies with the announcement made by the Board in 2016 to incorporate a new director to bolster the number of independents on the Board. It is also as a first step towards gender diversity in the composition of the Board.
- The appointment of the new director is expected to become effective at the Cellnex Shareholders’ meeting to be held on 27 April 2017.
Barcelona, 23 March 2017.- The Cellnex Telecom Board of Directors adopted a proposal from the Appointments and Remuneration Committee in which they agreed to the appointment of Marieta del Rivero Bermejo as a new independent director of the Company. The appointment is set to become effective at the Shareholders’ Meeting to be held on 27 April 2017.
The addition of the new director will increase the number of Board members from nine to ten, a change that will also be submitted to the Shareholders’ Meeting for approval.
Cellnex’s Board will now have five independent directors, representing 50% of the total, which is above the recommended threshold of Good Corporate Governance for Listed Companies, along with the current four nominee directors and one executive director.
Marieta del Rivero has 25 years experience in leadership roles in the world of information and communications technology, mobility and the digital services industry and is one of the most prominent profiles in the sector in Spain. She has extensive experience and a proven track record ranging from key consumers to manufacturers and suppliers of hardware, to telecom operators and software industry. Her career and executive responsibilities have included working at Telefónica, Nokia (Iberia and Corporation), Xfera Móviles, Amena and Nefitel. She is currently Senior Advisor at Ericsson and is a member of the advisory boards of the “Made in Mobile” technology incubator and the “Roca Salvatella” digital transformation consultancy. She is a Board member of of the International Women’s Forum and of the Women Corporate Directors Foundation in Spain.
She is also the author of the book “Smart Cities, a vision for the citizen” in which she develops her ideas regarding the effects of urbanisation and digital transformation on cities. Ms Del Rivero has a degree in Economics and Business Studies from the Autonomous University of Madrid. She also completed the Advanced Management Program (AMP) at IESE.
